ArcLessons Upload Policy

To upload a Lesson to ArcLessons, you must agree to the terms listed below. THIS DOCUMENT REFLECTS THE POLICY OF ENVIRONMENTAL SYSTEMS RESEARCH INSTITUTE, INC. ("ESRI") WITH RESPECT TO THE SUBMISSION AND UPLOADING OF THIRD PARTY SCRIPTS, LESSONS, ETC. (HEREINAFTER REFERRED TO AS "CONTENT") FOR INCLUSION ON ESRI'S SPECIALITY WEB PAGES (COLLECTIVELY HEREINAFTER REFERRED TO AS THE "WEB PAGES") FOR THE PURPOSE OF SHARING THE CONTENT WITH OTHER USERS OF ESRI SOFTWARE. BY SUBMISSION AND UPLOADING OF YOUR CONTENT YOU INDICATE YOUR ACCEPTANCE OF THE CONDITIONS BELOW AND CERTIFY THAT (1) YOU HAVE READ THIS SUBMISSION AND UPLOADING POLICY AND AGREE TO ITS TERMS AND (2) YOU WILL DISCLOSE AND UPLOAD CONTENT TO ESRI ONLY IN ACCORDANCE WITH THE TERMS HEREOF. ALL CONTENT SUBMITTED AND UPLOADED BY YOU TO ESRI OR DISCUSSIONS RELATING THERETO BETWEEN YOU AND ESRI SHALL BE GOVERNED BY THIS POLICY.

ESRI SUBMISSION AND UPLOADING POLICY

  1. ESRI is not interested in obtaining access to information that is considered by you or a third party to be confidential, proprietary, and/or contains trade secrets unless ESRI enters into an appropriate confidentiality/nondisclosure agreement prior to submission and uploading of your Content.
  2. You agree that no obligation of confidentiality or limitation of use is imposed with respect to the Content furnished. ESRI shall have the right to use any ideas, concepts, know-how, or techniques contained in or relating to the Content. You will only retain rights you may have in the Content under patent and/or copyright law.
  3. You agree that ESRI assumes no obligation to (1) return the Content submitted by you, (2) compensate you in any way for the use of the Content in accordance with the intentions specified herein. ESRI reserves the right to remove any Content without prior notice to you that is alleged by a third party to be infringing, unlawful, defamatory, and/or violative of any person's right to privacy and/or publicity.
  4. You warrant that you own and/or have the full authority and rights from the owner to grant permission(s) for ESRI to use, copy, reproduce, publicly display, publicly perform, (re)distribute, (re)broadcast, and/or (re)transmit the Content submitted and uploaded herein, and that the Content does not infringe on any proprietary and/or intellectual property rights of third persons or contain any information that is unlawful, defamatory, or violative of any person's right to privacy and/or publicity. You agree to defend, indemnify, and hold harmless ESRI, its officers, directors, employees, agents, licensees, and assigns, and all persons acting under ESRI's permission or authority, or those for whom ESRI is acting from and against any and all liability, claims, expenses, costs, or damages arising out of you or your organization's failure to meet the aforementioned obligations.
  5. You agree to follow the then current ESRI Submission Guidelines. Please review the ArcLessons Guidelines at http://edcommunitydev.esri.com/arclessons/guidelines.cfm before posting your materials. Any submissions not following the aforementioned guidelines will not be considered for posting in or on the Web Pages. All materials posted will be considered copyrighted by the author unless the author expressly states in the "Read Me" file that the lesson and related materials are being placed in the public domain.
  6. You agree that the terms of this policy shall control the rights and obligations of ESRI and you respecting the Content, however disclosed or provided to ESRI, including verbal disclosure thereof, notwithstanding any legends, markings, or other restrictions embodied in, attached to, or accompanying such Content. The terms of this policy may not be amended or superseded except by a written amendment that refers to this document and is signed by both parties. This policy shall be governed and construed in accordance with the laws of the United States of America and the State of California.
